Code of Procedure.

3. The duties and responsibilities of the

Board of Control, of the Chairman of the Board of Control, of the General Manager, and of the Staff, the powers of appoint-

-ment and dismissal of staff, the sanction and control of

expenditure, together with rules governing incidence of ex- -penditure, the purchase of stores and the keeping of accounts in the various departments of the Railway, the framing of rates and all other matters connected with the Railway, shall be laid

down in a Code of Procedure, which shall be in accordance with

the spirit of this Agreement and be approved by the two Govern-

-ments, and the affairs of the Railway shall be administered in

strict accordance with such Code.

Board of Control.

4. The Board of Control shall consist of four

persons, being two representatives of the Hongkong Government

and two of the Imperial Chinese Government appointed by their

respective Governments. The Representatives of the Hongkong

Government shall he approved of by the Imperial Chinese Govern***

-ment, and the Representatives of the Imperial Chinese Govern-

-ment shall be approved of by the Hongkong Government. The Board

shall meet at least once a month in connection with the business

of the Railway at a place on or near the line in Chinese and

British Territory alternately, unless otherwise agreed by the

Board, but no vote shall be taken unless all the Members are

present. Each member of the Board shall have one vote and shall

hold office for a term of one year from the commencement of his

appäintment. Any member may be reappointed any number of times

subject to the approval on each occasion of the other Govern-

-ment. Casual vacancies occurring shall be filled up by the

Government whose representative goes on leave, dies, retires or

becomes incapable of acting, and in the event of any interval

occurring between the expiration of an appointment of a member
